Kann der Unternehmer oder der Gesellschafter einer GmbH oder einer Personengesellschaft aus gesundheitlichen Gr\u00fcnden seine Aufgaben nicht mehr wahrnehmen, ist das Unternehmen h\u00e4ufig solange f\u00fchrungslos, bis das Betreuungsgericht einen Betreuer bestellt. Betreuer kann auch ein unternehmensfremder Dritter sein, der ohne Bezug zum Unternehmen ist. Gleichwohl muss der Betreuer Entscheidungen treffen und in nicht wenigen F\u00e4llen entsprechen diese dann nicht dem Willen des Unternehmers.&nbsp;<\/strong><\/h2>\n\n\n\n<p>Um das zu vermeiden, kann der Unternehmer in einer Vorsorgevollmacht einen von ihm ausgesuchten Bevollm\u00e4chtigten bestimmen und ihn mit bestimmten Befugnissen ausstatten. Zu diesen Befugnissen k\u00f6nnen z.B. geh\u00f6ren Fusionen, Schlie\u00dfungen, Teilver\u00e4u\u00dferungen vorzunehmen, Verf\u00fcgungen \u00fcber Verm\u00f6gensgegenst\u00e4nde und Rechte auszuf\u00fchren und Vertragsabschl\u00fcsse durchzuf\u00fchren.<\/p>\n\n\n\n<p>Um zu verhindern, dass der Bevollm\u00e4chtigte seine Vollmacht nicht nach dem Willen des Unternehmers aus\u00fcbt, kann daran gedacht werden, in der Vorsorgevollmacht erg\u00e4nzende Handlungsanweisungen aufzunehmen, die dem Willen des Unternehmers entsprechen (z.B. bez\u00fcglich Ma\u00dfnahmen in wirtschaftlichen Krisen, Nachfolgeregelung etc.). Dadurch wird der Bevollm\u00e4chtigte verpflichtet, z.B. bestimmte Ma\u00dfnahmen in einer festgelegten Reihenfolge einzuhalten oder eine bestimmte Nachfolgeregelung auszuf\u00fchren.<\/p>\n\n\n\n<p>Zu beachten ist, dass im Fall der Vollmachtserteilung f\u00fcr Grundst\u00fccksangelegenheiten die Vorsorgevollmacht zwingend notariell zu beurkunden ist.<\/p>\n\n\n\n<p>Im Zusammenhang mit der Errichtung der Vorsorgevollmacht kann der Unternehmer dann auch entscheiden, ob er nicht nur die Vorsorge f\u00fcr den Betrieb regelt, sondern zus\u00e4tzlich auch entsprechende Regelungen f\u00fcr seinen privaten Bereich aufnimmt.<\/p>\n\n\n\n<p>Die Anforderungen an eine entsprechende Vorsorgevollmacht sind rechtlich komplex und es kann von daher empfohlen werden, sich vorab rechtlich beraten und unterst\u00fctzen zu lassen, damit es im Nachhinein nicht zu Ergebnissen kommt, die von Seiten des Unternehmers gar nicht gew\u00fcnscht waren.<\/p>\n\n\n\n<p><strong><em>Studio Legale Reichel &#8211; Beatrix Grossblotekamp, LL.M. &#8211; Rechtsanw\u00e4ltin<\/em><\/strong><\/p>\n","protected":false},"excerpt":{"rendered":"<p>F\u00fcr Unternehmer gibt es weder durch eine bestehende Ehe noch durch die Verwandtschaft ein gesetzliches Vertretungsrecht.
